What is Bizee?

Bizee is an online business-formation company, formerly known as Incfile. It prepares and files the paperwork that creates your LLC or corporation with the state, and offers ongoing services such as registered agent, annual reports and compliance reminders. Bizee says it has been independently owned since 2004 and has helped more than 1,000,000 entrepreneurs, and it showed a 4.8 out of 5 rating from over 26,000 Trustpilot reviews when we checked.

Why business buyers need an LLC first

When you buy an existing business, the buyer on the purchase agreement is usually a new company you set up for the deal, not you personally. That company signs the loan, holds the licences, employs the staff and opens the bank account the seller is paid from. Forming it early has three practical benefits:

  • Liability separation. An LLC can keep the business's debts and claims apart from your personal assets.
  • Lender readiness. SBA and bank lenders draft loan documents in the buying entity's name, so it needs to exist, with an EIN, before closing.
  • A clean timeline. Forming the LLC right after the letter of intent stops paperwork from delaying closing day. See our buying timeline.

Which Bizee package should a business buyer choose?

Standard is the best fit for most acquisitions. It includes the two items lenders and attorneys ask for first: the EIN, needed to open the business bank account, and an operating agreement, which sets out who owns the company. Basic works if you plan to get your EIN free from the IRS and have your attorney draft the operating agreement. Choose Premium, or add $50 expedited filing, when closing is only a few weeks away and four business days matters.

How to form your LLC with Bizee: 5 steps

  1. Pick the state. Most buyers form in the state where the business operates.
  2. Check the name. Use a name for the holding LLC, and register the business's trading name as a DBA if needed.
  3. Choose a package and enter the members, address and registered agent details.
  4. Get the EIN and open the bank account as soon as the state approves the LLC.
  5. Give the documents to your lender and attorney so loan and purchase documents name the new company.

Tax choices such as an S corporation election depend on your situation, so check with an accountant first. Our business formation resource covers the options.
